Terms of Service

1. Operator and scope

Open Clade Design is operated by Nexu Labs. These Terms apply when you access the website, create an account, use the design generation workspace, start a subscription, or interact with support.

By creating an account, using the Service, or completing checkout, you agree to these Terms, the Privacy Policy, and the Refund and Cancellation Policy.

2. The Service

Open Clade Design is a hosted AI design workspace. Customers can create design projects, prototypes, slide decks, templates, and standalone HTML outputs; store project files; preview generated work; import and export files; and continue design conversations inside the workspace.

Generated output is AI-assisted and may contain errors, omissions, visual defects, or third-party material. You are responsible for reviewing output before publishing, distributing, relying on, or selling it.

3. Accounts and eligibility

You must provide accurate account information, keep your sign-in credentials secure, and promptly notify us if you believe your account has been compromised. You may not transfer or resell your account without written permission.

The Service is intended for users who are at least 13 years old and old enough to form a binding contract in their jurisdiction. If you use the Service for an organization, you represent that you are authorized to bind that organization.

4. Subscriptions, credits, and taxes

Paid plans are subscription products. Monthly plans are billed monthly. Annual plans are billed upfront for the full year and shown on the pricing page as an effective monthly amount before VAT, sales tax, GST, or other taxes.

Plan credits are a usage allowance for design generation and related hosted AI work. Credits are not currency, have no cash value, are not transferable, and do not create a stored-value account. Generation counts shown on the pricing page are estimates because real usage depends on model, prompt, output size, tool calls, and files produced.

Subscriptions renew automatically unless canceled before renewal. You can manage or cancel billing from the account billing portal when available, or by contacting support.

5. Payment processing

Payments are processed by Stripe or another payment provider shown during checkout. We do not store full card numbers, card security codes, or full bank account details on our application servers. The payment provider may collect and process transaction data under its own terms and privacy notices.

You must ensure that the payment method you use is authorized and that billing information is accurate. If a payment fails, access to paid features may be limited until the issue is resolved.

6. Acceptable use

You may not use the Service to:

• violate law, sanctions, export controls, or third-party rights;
• create malware, phishing, fraud, deceptive checkout flows, or abusive automation;
• upload content you do not have rights to use;
• generate or publish infringing, defamatory, hateful, sexual exploitation, or violent extremist material;
• attempt to bypass rate limits, billing limits, security controls, or access controls;
• collect or process sensitive personal data unless you have a lawful basis and adequate safeguards;
• reverse engineer, scrape, or resell the Service except as allowed by law or written permission.

7. Customer content and generated output

You retain ownership of prompts, uploads, project files, and other content you submit, subject to rights you already granted to others. You grant us a limited license to host, copy, process, transmit, and display that content as needed to provide, secure, support, and improve the Service.

As between you and Nexu Labs, you may use generated output for your lawful personal or business purposes. You are responsible for checking that output is accurate, safe, and lawful for your intended use.

8. Cancellations and refunds

Cancellation and refund eligibility is described in the Refund and Cancellation Policy. Canceling a subscription stops future renewals but does not automatically refund previous charges unless that policy or applicable law requires a refund.

9. Availability and changes

The Service may change over time. We may add, remove, suspend, or modify features, supported models, limits, prices, and plan names. We will try to avoid disrupting active paid customers, but we do not guarantee uninterrupted or error-free operation.

10. Disclaimers and liability

The Service is provided "as is" and "as available" to the maximum extent allowed by law. We disclaim implied warranties including merchantability, fitness for a particular purpose, and non-infringement.

To the maximum extent allowed by law, Nexu Labs will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption. Our aggregate liability for claims relating to the Service is limited to the amount you paid for the Service in the three months before the event giving rise to the claim.

11. Updates and contact

We may update these Terms by posting a revised version with a new last updated date. Material changes to paid subscription terms will be communicated through the website, account email, or checkout flow when required.
